Terms of Service  

Welcome to PushVine! These Terms of Service ("Terms") govern your use of our platform, services, and features provided through PushVine ("the Platform"). By accessing or using PushVine, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.    

 1. Acceptance of Terms  

By creating an account, posting content, or using any services on PushVine, you confirm that you:  

- Are at least 18 years old, or the legal age of consent in your jurisdiction.  
- Have read, understood, and agree to these Terms.  

If you represent a company or organization, you confirm that you have the authority to bind that entity to these Terms.    

2. Overview of Services  

PushVine allows users to:  

- Create and send posts ("Push Posts") to influencers.  
- Choose between Free Push Posts (no cost) and Paid Push Posts (for prioritized visibility).  
- Enable influencers to earn money by sharing Paid Push Posts with their audience.  

Use of PushVine is subject to these Terms, and PushVine reserves the right to modify or discontinue any features at its discretion.  

3. Account Responsibilities  

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to:  

- Provide accurate, complete, and current information during registration.  
- Immediately notify PushVine if you suspect unauthorized access to your account.  
- Not share or transfer your account to others without written permission from PushVine.  

PushVine reserves the right to suspend or terminate accounts for violations of these Terms.  

4. User Conduct  

When using PushVine, you agree to:  

- Use the Platform for lawful purposes only.  
- Refrain from posting or sending content that is illegal, harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable.  
- Not engage in spamming, phishing, or any activity that disrupts the Platform’s functionality.  
- Respect the rights of others, including intellectual property rights.  

PushVine reserves the right to remove or restrict access to accounts or content that violates these Terms.

 5. Push Posts  

For Users Sending Push Posts:  
- Free Push Posts: These posts can be sent at no cost, and influencers are under no obligation to interact with or share them.  
- Paid Push Posts: Users pay a fee to prioritize their posts. Influencers will review these posts, but sharing is still at their discretion.  

PushVine does not guarantee that your post will be shared by an influencer, even for Paid Push Posts.  

For Influencers Receiving Push Posts:  
- Influencers earn a portion of the fee from Paid Push Posts they choose to share.  
- Influencers are responsible for ensuring that shared content aligns with their brand and complies with these Terms.  
- PushVine is not liable for any disputes between influencers and users regarding shared content.

6. Payments and Fees  

- All payments for Paid Push Posts are processed through the Platform.  
- Users acknowledge that PushVine deducts a service fee from payments before distributing earnings to influencers.  
- Payments made for Paid Push Posts are non-refundable, except as required by applicable law.  

PushVine reserves the right to update pricing, service fees, or payment policies at any time.

7. Intellectual Property  

Ownership of Content:  
- Users retain ownership of the content they create and share on PushVine.  
- By sharing content on the Platform, you grant PushVine a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide the service.  

PushVine’s Intellectual Property:  
- All trademarks, logos, and content related to PushVine are the property of PushVine.  
- You may not copy, modify, or use PushVine’s intellectual property without prior written consent.

8. Disclaimer of Warranties  

PushVine provides its services "as is" and "as available" without any warranties or guarantees of any kind, either express or implied. PushVine does not guarantee:  

- The accuracy, reliability, or completeness of any content on the Platform.  
- That the Platform will operate without interruption, errors, or security breaches.

9. Limitation of Liability  

To the fullest extent permitted by law, PushVine and its affiliates shall not be liable for:  

- Any indirect, incidental, or consequential damages arising from your use of the Platform.  
- Loss of profits, data, or reputation due to Platform use or inability to access the Platform.  

PushVine’s total liability for any claim will not exceed the amount you paid to PushVine in the 12 months prior to the claim.

10. Termination  

PushVine reserves the right to terminate or suspend your access to the Platform at any time, without prior notice, for:  

- Violations of these Terms.  
- Behavior that disrupts the Platform or harms other users.  

You may terminate your account at any time by contacting PushVine support.

11. Modifications to the Terms  

PushVine reserves the right to update or modify these Terms at any time. Changes will take effect upon posting to the Platform. Your continued use of PushVine after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law  

These Terms are governed by and construed in accordance with the laws. Any disputes arising from these Terms shall be resolved exclusively in the courts of jurisdiction.
